Smart Battery Lease Terms and Policies
I. Terms of the Master Battery Lease Agreement
1.1 Scope of Agreement and Parties (Parties & Scope)
This Agreement is entered into by AgriSky Technologies INC. (hereinafter referred to as the “Lessor” or “AgriSky”) and the entity or individual who places an order on AgriSky’s official standalone website or signs this Agreement (hereinafter referred to as the “Lessee” or “Customer”).
Upon submitting an order and completing payment, the Lessee is deemed to have fully understood and agreed to all terms of this Agreement.
1.2 Equipment Description and Ownership (Equipment & Ownership)
Leased Equipment:
DJI Agras DB1560 / DB2160 Smart Flight Batteries and accompanying Battery Management System (BMS).
Ownership:
Ownership of all leased batteries and their core components shall at all times remain with AgriSky.
The Lessee shall only have the right to use the equipment for its intended purpose (agricultural spraying and aerial seeding operations) during the lease term and shall not sublease, pledge, transfer, or engage in any unauthorized technical decryption or disassembly of the equipment.
1.3 Billing Cycle and Overage Telemetry (Term & Overage Telemetry)
Billing Cycle:
A standard 30-day monthly billing cycle, calculated from the date the Lessee signs for receipt of the batteries.
Base Cycle Allowance:
Each battery includes 100 charge-discharge cycles per billing cycle.
Overage Cycle Billing:
At the end of each monthly billing cycle, AgriSky will read the number of charge-discharge cycles via the official BMS hardware.
Cycles exceeding 100 will be billed per cycle at the overage rate corresponding to the Lessee’s selected rental tier and automatically deducted from the linked payment account:
• DB1560: $1.99 – $2.99 per overage cycle
• DB2160: $3.59 – $4.59 per excess cycle
OTA Remote Lockout Rights:
If the Lessee is more than 7 business days past due on rent or excess charges, AgriSky reserves the right to remotely lock the battery via the BMS firmware, suspending its charging and discharging functions.
Any resulting downtime losses shall be borne solely by the Lessee.
1.4 HAZMAT Dangerous Goods Compliance
Batteries are classified as Class 9 dangerous goods under U.S. Department of Transportation (DOT) regulations.
Outbound shipping costs are borne by AgriSky (limited to the contiguous 48 U.S. states).
Return shipping costs are borne by the Lessee.
When returning the battery, the Lessee must use the UN3480-compliant hazardous materials packaging and warning labels provided by AgriSky with the shipment and arrange for transport via a carrier qualified for HAZMAT shipping (FedEx/UPS Ground).
II. Order Cancellation and Modification Policy
2.1 Pre-Shipment Cancellation
Free Cancellation Period:
Within 24 hours of submitting the order and before the warehouse has processed the shipment (as determined by the generation of a FedEx/UPS tracking number), the Lessee may request a full, no-penalty cancellation, and the rental fee and deposit will be refunded via the original payment method.
Pre-Shipment Cut-off:
If a HAZMAT shipping label has been generated and the order has entered the packing process, but the package has not yet left the Maryland or California warehouse, a $30.00 per unit HAZMAT packaging and order cancellation fee will be deducted.
2.2 Post-Shipment Cancellation
Once a package leaves the warehouse and is handed over to the logistics carrier, the order cannot be forcibly intercepted en route.
If the Lessee insists on canceling, the packaging must remain unopened after receiving the batteries, and the Lessee must bear the cost of HAZMAT return shipping.
After AgriSky receives the batteries and confirms they are in good condition, the deposit and remaining rental fees will be refunded.
However, the first month’s rental fee is non-refundable, and the actual one-way HAZMAT shipping costs incurred will be deducted.
2.3 Lease Extension and Changes (Lease Extension)
If the Lessee wishes to extend the lease term or qualify for a lower-tier long-term discount, they must submit a renewal application on the independent website or contact customer service to change the plan at least 5 business days before the end of the current billing cycle.
